The agreement between you and us. What you get, what we are responsible for, and what we are not.

Who this is between
This section will name the company, its CAC registration and its registered address, and will define the terms used throughout: you, your business, the service, and the plan you are on.
What Xeruvi is, and what it is not
Xeruvi runs your bookings, your clients and your kit, reads the money moving through the business account you connect, and tells you what each job earned and what you can afford. That is what you are paying for.
- We are not a payment provider. Your clients pay you directly, into your own account. Money never passes through us, and we hold no float.
- We are not a bank and we are not licensed by the Central Bank of Nigeria, because nothing we do requires it.
- We are not your accountant and we do not give financial, tax or legal advice. The figures are a reading of your own data, offered so you can make a better decision, not a professional opinion you can rely on.
- We are not a lender. Nothing in the product is an offer of credit.
Your account
This section will cover who may open an account, keeping your access secure, what happens when you add team members, and your responsibility for what they do under your business.
Plans and payment
Prices are in naira and are shown on the pricing section of our site. This section will set out how billing works, when we charge, what happens if a payment fails, how to change or cancel a plan, and our position on refunds.
Founding cohort pricing, where offered, will be defined here precisely: what is fixed, for how long, and what would end it.
Connecting a bank account
Connecting an account is optional, and most of the product works without it. When you do connect one, you are authorising read only access through Mono, our open banking provider. This section will set out what that authorisation covers, how to withdraw it, and what we do with the data already read.
Your data and your clients
Your business data is yours. This section will confirm that, set out the licence you give us to run the product, and commit to how you can export your data and what we do with it when you leave.
It will also set out your responsibilities as the person who collected your clients' details in the first place.
Using it properly
The acceptable use policy sits alongside these terms and forms part of them. Breaking it is a breach of this agreement.
Availability
We will say here what we commit to on uptime, what we do for planned maintenance, and what we do not promise. We will not promise an availability figure we have no way of meeting.
Liability
This section will set out the limits on what we are responsible for. It is the section your lawyer and ours will spend the most time on, and it will be written plainly rather than in capitals.
One thing will not be limited, and it is worth saying in advance: if we get a figure wrong because of a defect in our software, we will say so, and we will fix it.
Ending the agreement
How you close your account, how we would suspend or close one, what notice each of us gives, and what happens to your data afterwards.
Governing law
This agreement will be governed by the laws of the Federal Republic of Nigeria. This section will name the courts and set out how a dispute is handled before it gets that far.
Changes to these terms
We will date every version and give you notice of anything that materially changes what you are agreeing to.
